Call for consultancy services from companies or individuals to develop a board of directors manual for the Palestinian Center for Democracy and Conflict Resolution (PCDCR)
About the organisation
The Palestinian Center for Democracy and Conflict Resolution is a non-profit civil organisation established in August 1998 as an investment in the outstanding efforts of a group of young Palestinians to develop a Palestinian model that promotes democratic principles and modern alternatives for conflict resolution. Over the past ten years, the Palestinian Center for Democracy and Conflict Resolution has proved its effectiveness and its leading role in civil society in Palestine, with a good reputation among local and international partners.
In all its programmes, the Palestinian Center for Democracy and Conflict Resolution continuously aims to be a voice for better practices and policies to realise children's rights, to ensure children's voices are heard, and to build partnerships with children, communities, governments, civil society and private sector organisations in order to influence others, as well as ensuring early responses for marginalised children and local communities through good relations with governmental organisations and law enforcement bodies.
About the project
In May 2017, the Palestinian Center for Democracy and Conflict Resolution, in partnership with Save the Children, launched a new five-year project entitled "Strengthening child protection systems to prevent violence (sexual, physical and degrading behaviour) against children by empowering civil society organisations, caregivers and children to support the elimination of violence". The project aims to improve the capacity to respect and fulfil children's rights to survival, learning and protection, as part of its overall commitments to supporting the rights of the most marginalised children by strengthening children's participation and involving them in monitoring children's rights and reporting violations.
As part of the project's activities, the Palestinian Center for Democracy and Conflict Resolution announces a call for a consultancy to prepare a manual for its board of directors, in order to provide a clear description of the responsibilities, powers and tasks of the board based on the Centre's mission, vision and objectives, through fair and sound administrative management.
Purpose of the consultancy
PCDCR is seeking high-quality consultancy services specialised in building the capacity of civil society in order to develop a board governance manual, through a clear, methodical guide to the tasks, responsibilities and powers of the board of directors.
Deliverables:
The following specific results and deliverables must be discussed and approved by the project's technical team:
- An analytical plan will be designed and shared with stakeholders.
- The first draft of the manual, including the guiding principles and the board's governance mechanisms, will be shared.
- The first draft of the manual will be presented to the board of directors and the executive management, who will be given sufficient time to study it and record their observations and comments.
- Holding a session to discuss and approve any amendments.
- Final printing of the manual in Arabic and English.
- Holding a workshop to present the deliverables to the board of directors and the staff.
Tasks of the consultant
The consultant will prepare this manual to make it available to the board of the Palestinian Center for Democracy and Conflict Resolution (PCDCR) in order to lead its staff and projects with good governance, so that the Centre is well organised and effective within Palestinian civil society, following this methodology:
- Presentation session: presenting all available publications and documents relating to the vision, mission, objectives and strategies of the Palestinian Center for Democracy and Conflict Resolution over the past years.
- Identifying initial strengths and weaknesses through this presentation.
- 3. A meeting of board members and the general assembly to verify the clarity and adequacy of their responsibilities and to validate the results of the presentation.
- Holding a meeting with a group of first- and second-tier staff to ensure the clarity of the governance culture at the Centre and that staff needs and expectations of the board are met.
- Preparing an initial draft of this manual includes the following:
- The conceptual frame of reference:
- The Centre's commitment to the principles of the Palestinian Declaration of Independence.
- The Centre's commitment to international political, social and civil laws relating to human rights in general and to women and children in particular.
- The Centre's commitment to national laws and regulations consistent with realising the Palestinian people's aspirations to freedom, independence and development.
- ü The organisational frame of reference:
- The tasks, responsibilities and powers of the board of directors.
- The tasks, responsibilities and powers of the general assembly.
- The organisational structure of the Centre.
- The responsibilities and powers of the Director General.
- The competencies and tasks of the executive management.
- Supervision by the board of directors and monitoring of the work of the Director General and the executive management.
- 6. Submitting the draft manual to the board of directors and the executive management and giving them sufficient time to study it and record their observations and comments.
- Holding a discussion session to approve the amendments.
- Final design and printing of the manual in Arabic and English.
Timeframe:
The consultancy assignment is expected to require approximately 19 days. PCDCR will review the manual and provide the consultancy firm with feedback. The final manual will be issued by 11 April 2019 at the latest. The timetable below will be discussed with the consultant.
Please note that the assignment will begin on the date the contract is signed and end 45 days thereafter.

Qualifications and experience:
At least 5 years' experience in the relevant field;
Relevant academic qualifications and field experience;
Expertise and experience in delivering training; this experience is particularly required.
Experience in developing administrative and technical manuals for NGOs in a variety of areas, such as strategic planning manuals and board of directors manuals, with an understanding of the issues and sensitivities involved in preparing such manuals;
Excellent writing skills for manuals dealing with responsibilities and ensuring effective communication between the board and management.

The interested consultant must submit two separate proposals in a sealed envelope: the technical proposal with the expected comprehensive approach and methodological techniques and the timeframe, in addition to the financial proposal with a detailed budget in US dollars, which must include daily fees and expenses.
Note: the consultant awarded the contract is the one who pays the advertising fees.
